What do our Terms & Conditions cover?
Welcome to Bold Signage & Wraps! These Terms of Trade outline the terms and conditions that govern the sale of goods and services provided by our Auckland-based signage and wrap shop. By engaging with our services or making a purchase, you agree to abide by these terms.
1. Introduction
​
1.1: These Terms and Conditions of Sale apply to all goods and services provided by your Bold Signage Limited to the purchaser of those goods ("the Buyer"). In this document, Bold Signage Limited refers to the person or entity supplying the Buyer with goods, services, and/or credit as per the Buyer's order.
​
1.2: If other terms and conditions are included in any agreement between Bold Signage Limited and the Buyer, these Terms and Conditions of Sale will take precedence unless specifically authorised in writing by a director of Bold Signage Limited.
​
1.3: For these terms and conditions, “the Buyer” means anyone who has placed an order with Bold Signage Limited and any entity or organisation they represent.
​
2. Ordering
​
2.1: Buyers should place orders in writing, specifying their requirements clearly. Bold Signage Limited is not responsible for errors or omissions from verbal instructions.
​
2.2: Quotations are based on the original specifications. If the Buyer makes an error or omits information, resulting in work needing to be redone or altered, Bold Signage Limited may charge extra. If the Buyer cancels or suspends an order, they may be required to pay for work done up to that point.
​
2.3: Quotations are valid for 30 days from the date given, unless otherwise stated. After this period, a new quotation will be needed.
​
2.4: Bold Signage Limited reserves the right to refuse work that is deemed unlawful, offensive, or inappropriate.
​
2.5: Every effort will be made to supply the correct quantity ordered, but there is a 10% margin for overs or unders, which will be adjusted pro rata. If Bold Signage Limited is required to match a specific shade or colour, a reasonable tolerance will be allowed.
​
2.6: If expedited delivery is requested, an extra charge may apply.
​
3. Prices
​
3.1: Prices are as shown on Bold Signage Limited's quotation, acceptance order, invoice, or other documents. Delivery charges may apply in addition to the quoted price. Installation, vinyl, and paint removal charges may be adjusted based on actual costs incurred.
​
3.2: Permit fees, drawing and engineer's calculations, and other additional charges are not included in the quoted price. If primary wiring is required, a separate quote will be provided.
​
3.3: Bold Signage Limited may make minor alterations to the size of signs to ensure dimensional balance and may substitute materials if necessary.
​
3.4: Experimental work, preliminary sketches, and designs requested by the Buyer will be charged, even if the job does not proceed. Sketches and prototypes provided speculatively remain the property of Bold Signage Limited unless payment is made. Initial setup or origination charges do not grant the Buyer rights to any materials used, which remain the property of Bold Signage Limited.

3.5: Goods and Services Tax and other applicable taxes or duties are payable by the Buyer in addition to the quoted price.
​
3.6: Quoted prices are based on current material, labour, and service costs. If these costs increase, Bold Signage Limited may adjust the quoted price accordingly.
​
4. Payment Terms
​
4.1.1: Our standard payment terms are a 50% deposit with confirmation of quote, with the balance due upon completion of your order or installation. If payment is not made after the due date, additional collection costs may apply.
​
4.1.2: For businesses, we can offer 7 days' terms, with payment required within seven days of the invoice date. If payment is not made within 7 days after the due date, additional collection costs may apply.
​
4.2: Account payments are due by the 20th of the month following the invoice date. If payment is not made within 30 days after the due date, additional collection costs may apply. The buyer agrees to settle all payments by the 20th of the month of deliver.
​
4.3: Progress payments may be required for extended work. After one month, a progress payment of up to 75% of the work's value may be requested, with further payments possibly required monthly until completion.
​
4.4: Bold Signage Limited may apply any received payment against any debt owed by the Buyer.
​
4.5: In addition to the reservation of title and security interest, Bold Signage Limited holds a contractual possessory lien over any goods in its possession, allowing it to hold or sell those goods to recover debts.
​
5. Default & Consequences of Default
​
5.1: Interest on overdue invoices will accrue daily at a rate of 2.5% per month until paid, including any judgment interest, at Bold Signage Limited's discretion.
​
5.2: If the Buyer’s payment is dishonoured, the Buyer will be liable for any dishonour fees incurred.
​
5.3: If the Buyer defaults on payment, they must cover all costs incurred by Bold Signage Limited in pursuing the debt, including legal and collection agency costs.
​
5.4: If the Buyer breaches any obligation, Bold Signage Limited may suspend or terminate the supply of goods and services and will not be liable for any loss or damage suffered by the Buyer.
​
5.5: An administration fee of the greater of $20 or 10% of the overdue amount (up to $200) will be charged monthly if the account remains overdue after 30 days.
​
5.6: If any account is overdue or the Buyer becomes insolvent, Bold Signage Limited may cancel any unfulfilled orders and demand immediate payment for all amounts owed.
​
6. Specifications, Delivery, and Installation
​
6.1: Bold Signage Limited will make every effort to deliver orders on time but is not liable for any loss or damage due to delays.
​
6.2: The Buyer must inspect goods immediately upon delivery and notify Bold Signage Limited in writing of any issues within 5 working days. After this period, Bold Signage Limited is not liable for defects or deficiencies.
​
6.3: No retentions or special conditions will be recognised unless specifically stated in the quotation.
​
6.4: If forwarding instructions are not received within 14 days of notification that goods are ready, the Buyer will be deemed to have taken delivery, and payment will be due as if delivery had occurred. Bold Signage Limited will only store the goods as long as reasonably practicable, at the Buyer’s risk and cost.
​
7. Risk
​
7.1: Risk in goods passes to the Buyer upon delivery. Bold Signage Limited is not responsible for loss or damage in transit, and the Buyer must insure goods against such risks.
​
7.2: If the Buyer supplies materials, these are held at the Buyer’s risk. Bold Signage Limited is not responsible for damage to these materials and may dispose of them if not collected within a month after work completion.
​
8. Title
​
8.1: Ownership of goods remains with Bold Signage Limited until the Buyer has paid all amounts owed. Bold Signage Limited’s rights and remedies regarding this security interest are as specified in Clause 11.10.
​
8.2: Receipt of payment other than cash does not constitute payment until it is honoured. Bold Signage Limited’s ownership rights continue until payment is received.
​
8.3 Until ownership passes
​
a) Goods should be kept separate and identifiable. b) Bold Signage Limited may ask the Buyer to return goods, and the Buyer’s rights to the goods will cease. c) The Buyer is only a bailee of the goods and must hold any proceeds from their sale on trust for Bold Signage Limited. d) If goods are converted into other products, Bold Signage Limited will own the end products. e) If any amount owed is overdue, Bold Signage Limited may seize and dispose of goods to recover the outstanding amount, with the Buyer authorising entry to premises for this purpose.

9. Warranty / Indemnity
​
9.1: While Bold Signage Limited ensures high-quality goods and services, it does not guarantee the manufacture of items. Defects due to faulty workmanship must be reported within 7 days after delivery for repair or replacement at Bold Signage Limited’s discretion.
​
9.2: All other warranties, representations, or promises are excluded. The Consumer Guarantees Act 1993 does not apply if the goods are acquired for business purposes.
​
9.3: Bold Signage Limited’s total liability is limited to replacing defective goods or materials to the value received under the contract. No claims for consequential losses or damages will be accepted.
​
9.4: The Buyer will indemnify Bold Signage Limited against any losses or liabilities from third parties claiming the work is offensive, illegal, or infringes on rights.
​
10. Termination
​
10.1: Bold Signage Limited may terminate any contract by written notice if the Buyer defaults on their obligations.
​
10.2: In such cases, the Buyer must pay for all work done, including preliminary work, immediately upon demand.
​
11. General
​
11.1: Applicable Law/Unenforceability
​
11.1.1: New Zealand law applies to contracts between Bold Signage Limited and the Buyer.
​
11.1.2: If any provision is illegal or unenforceable, it will be excluded only to the extent required, with the remaining terms continuing to apply.
​
11.2 Assignment
​
11.2.1: Bold Signage Limited may assign any debt to another party.
​
11.2.2: Bold Signage Limited may also assign or subcontract any part of the work.
​
11.2.3: The assignee will have the same rights as Bold Signage Limited.
​
11.3 Set-Off
​
11.3.1: Bold Signage Limited may set off any debt owed by the Buyer against any money claimed by the Buyer.
​
11.4 Waiver
​
11.4.1: Bold Signage Limited’s legal rights remain intact despite any delays or waivers.
​
11.4.2: Waivers must be in writing and signed by a director of Bold Signage Limited to be valid. Any waiver only applies to the specific instance and
